Eligibility

To be eligible for the position of Corporate Paralegal at Dash Counsel, candidates must meet the following criteria:

  • Educational Qualification: Bachelor’s degree required; a paralegal certificate or relevant legal education is preferred.
  • Experience:
    • At least 1 year of experience as a corporate paralegal in a law firm or in-house legal department.
    • Strong knowledge of US corporate law and legal procedures.
  • Skills:
    • Excellent attention to detail and organizational skills.
    • Proficiency in Microsoft Office suite and legal research tools.
    • Ability to work independently and manage multiple priorities.
    • Strong written and verbal communication skills.

Role and Responsibilities

The Corporate Paralegal will be responsible for various tasks, including:

  1. Contract Management:
    • Managing the full contract lifecycle, including drafting, reviewing, and negotiating.
    • Maintaining contract templates and assisting with contract administration.
  2. Corporate Governance:
    • Assisting with corporate entity formation, maintenance, and dissolution.
    • Preparing and filing corporate documents, annual reports, and state qualifications.
    • Maintaining corporate records, minute books, and organizational charts.
  3. Legal Research:
    • Conducting thorough legal research on various corporate and regulatory matters.
    • Staying informed about legal changes and providing updates to the team.
  4. Document Preparation:
    • Drafting and reviewing legal documents, including resolutions, certificates, and agreements.
    • Preparing board and shareholder materials.
  5. Compliance:
    • Assisting with regulatory compliance and corporate governance matters.
    • Monitoring and ensuring compliance with legal requirements.
  6. Intellectual Property:
    • Assisting with trademark and patent portfolio management.
    • Supporting IP filings and maintenance.
  7. Litigation Support:
    • Providing assistance with various aspects of litigation, including discovery and document management.
  8. Legal Operations:
    • Managing legal software and tools, including contract management systems.
    • Organizing and maintaining legal files and records.
    • Assisting with the engagement and management of outside counsel.
  9. Cross-functional Collaboration:
    • Working effectively with various departments, including sales, finance, and operations.
    • Communicating clearly with internal stakeholders and external parties.
  10. Administrative Support:
    • Providing general administrative support to the legal team.
    • Managing calendars, scheduling meetings, and coordinating various legal activities.
